Investment Philosophy: Rockies Wyoming Fund primary investment considerations include a solid and experienced team, a disruptive product, and a process or service with “unfair competitive advantage”.

The product must exist in a large potential market, as well as have a clear path to an exit with the potential of yielding an average of 10 times the fund’s investment within five years.

Wyoming: Wyoming is a land of opportunity, rich in natural resources and beautiful places. The state also boasts great startups in tech, blockchain, life science, tourism and CPG. Our goal is to keep Wyoming companies in Wyoming by providing capital, networks, strategic support and more, so that companies have no reason to move to the coasts to meet their needs.

Early, Growth Stage Companies: Rockies Wyoming Fund will invest in seed and early stage companies that have achieved significant traction in developing their technology or building a market presence. Companies should be anticipating revenues within six months, if not already there. The most common use of funds invested in portfolio companies will be to finalize technology and to take the product to market within a short period of time.

Industries: Rockies Wyoming Fund is “horizontal” and not dedicated to any single market. Typical investments include these main areas: technology, healthcare/digital healthcare, life sciences, and consumer goods. However the fund will not consider investments in oil and gas exploration, foreign companies, real-estate, marijuana cultivation and/or sales.

Strategy: The Rockies Wyoming Fund is created to provide Limited Partners with the most returns in the shortest possible time while balancing risk with a diversified portfolio.  We believe the low cost of doing business in Wyoming, paired with high quality workforce and the potential to exit on a national scale provides us with opportunities for higher exit returns than in coastal areas.

Become a Limited Partner:

Before you sign any of these documents, you must carefully read the Private Placement Memorandum and the Fund Agreement.

After reading the Private Placement Memorandum and the Fund Agreement you may apply to become a member of the Fund by taking the following steps:

• Execute each Limited Partner Signature Page via DocuSign
• Complete the Subscription Agreement via DocuSign
• Validate your Accredited Investor status in any one of four ways: Complete the Investor Suitability Questionnaire and supporting documents via DocuSign, or use a third party to validate such as EarlyIQ, or supply validation from your tax accountant or attorney, or submit tax forms or brokerage statements.
• Complete the Form W-9 via DocuSign

Invest:

First, we need to review your completed Member Signature Pages, Subscription Agreement, and Form W-9. We will notify you in writing at the address indicated on your subscription documents in acknowledgment of receipt of your subscription application, as well as wire instructions for your Initial Contributions into our trust accounts.

You will be asked to make your initial capital contribution of 10% of your committed capital. e.g. if you commit to a full unit at $250,000, then your initial contribution would be $25,000. If you committed to $50,000, then your initial contribution would be $5,000.

Once you have wired your capital contribution, please inform Peter Adams at peter@rockiesventurefund.com of the date, the amount, the bank, and branch from which the funds originate. This will allow the General Partner to confirm receipt of your funds.

In the event the Fund does not accept your subscription or the Fund does not receive the minimum amount of aggregate capital contributions, you will be notified in writing at the address indicated in your subscription application.
