RVC’s Final Steps Class Cluster dives into due diligence and term sheets. Due diligence and term sheets are the final -- and some of the most important -- part of the investing process for both investors and entrepreneurs; they are also some of the most misunderstood aspects. This course moves well beyond just the due diligence checklist and talks about strategies for making the process more transparent and effective for everyone.

Due diligence is an essential process for investors to make a smart decision on whether or not to invest in a company. Statistically speaking, Angels see higher returns when they are active in the due diligence process. Entrepreneurs must also know what to expect during the diligence process so founders are fully prepared for anything an investor might ask, while maintaining momentum and effectively reducing the amount of time spent on fundraising.

After due diligence, the course moves into term sheets. The term sheet is the key document that summarizes the terms of the deal. Topics include understanding key terms in a term sheet, how to avoid dilution on both sides of the table, and best methods of negotiation.

Founders and investors are encouraged to bring a term sheet they’re working with and receive critique and advice from the class.
